2.0 Management of the project
The Project shall be managed by the Management Board. The
Management Board shall appoint all the Project staff; the staff shall also be
responsible to the Executive or Project director of the Project.
In case of any problem pertaining to the Management, an
extra-ordinary meeting shall be convened to address the matter.
(a) Project Directors
Unless otherwise determined by the Executive Committee in
the Board meeting the number of Project Director shall not be more than one.
The remuneration of Project Director shall from time to time
be determined by the Project in the general meeting. Such remuneration shall be
deemed to accrue from the day to the day activities of Kigezi Home Of orphans
Project. The Project Director expenses or property incurred by the attending
and returning from the meeting of the Project or in connection with the
operation of the project shall be born by the Project.
If the Project Director serves on any committee or devotes special
attention of the project or otherwise performed service that is not in the out
side the scope of the ordinary duties of project director may earn a commission
as may be determined by the Board.
(b) The Project Director
The Project
Director shall be responsible for the finance and management of the Project

Director shall call an extra ordinary meeting in case there are any agent
matters that need immediate attention.
The Project
Director shall from time to time appoint one of the Board Members to the Office
of the Deputy Director of the Project and such shall be subjected to the
approval of the Board.
The Project
Director in collaboration with the Board shall recruit Staff according to the
projects that will be undertaking.
(c) Deputy Director
Shall Deputize
the Project Director and while the Project Director is out of the office on
notice, the Deputy Director shall hold such an Office and the management and control of the Project
shall be vested in him or her.
With the
several persons whose names, address and descriptions are unto subscribed are
desirous of being formed into an Project in purchase of this constitution and
we respectively agree to sign our respective names.
2.2 Membership
Every person
willing to join the Project shall be a member but not a Director. The Director
shall not exceed one. Board members shall be elected and accountable to members
of the Project.
2.3 Source of
Funding:
Source of funding shall be from; orphans guardians,
contributions from well wishers, Donations from related
Organizations/Governments, Fundraising, Retained earnings from income
generating projects of the Kigezi Home of orphans Project.
2.4 Books of Accounts
The Project Director shall cause true accounts to be kept in
respect to:-
a. All sums of
money received and spent by the Project and the matters in respect of which
such receipts and expenditure take place.
b. All sales and
purchases of goods by the Project.
c. The assets and
liabilities of the Project.
The books of accounts of the Project shall be kept at the
Office, or at such other place(s) as the Board may think fit, and shall always
be open to the inspection of the Board.
All the Annual General Meeting in every year the Board shall
lay before the Project in proper income and expenditure account for the period
since the last proceeding account made up as at the same date containing all
such particulars with regard to the capital, the assets and liabilities of the
Project for accountability purposes.
